Terms of Service

These Terms govern your use of WA POS ("the Service"), operated by Cybex Innovation, Bangalore, India. By signing up or using the Service, you agree to these Terms.

1. Eligibility

You must be at least 18 years old and operating a lawful business in India. You confirm that information provided during sign-up is accurate.

2. Your account

You are responsible for activity from your registered WhatsApp number(s).
Keep your phone secure. We use WhatsApp OTP — anyone with your phone can access your account.
Inform us immediately at info@cybexinnovation.com of any unauthorised use.

3. Plans and billing

Free plan — usable indefinitely for sale tracking. Limits as listed at /#pricing.
Paid plans — billed monthly or yearly in advance. Prices are inclusive of GST where applicable. No automatic refunds for partial periods.
We may change prices on 30 days' notice; existing yearly subscriptions stay at the prior price until renewal.

4. Acceptable use

You will not, and will not allow your staff to:

Use the Service to sell or advertise illegal goods or services.
Send unsolicited promotional WhatsApp messages (spam) using your business number.
Reverse-engineer the Service or attempt to access another business's data.
Use the Service in a way that violates Meta's WhatsApp Business Policy or Commerce Policy.

We may suspend accounts that violate these rules without prior notice.

5. WhatsApp compliance

You acknowledge that WhatsApp messages are delivered through Meta's WhatsApp Business Cloud API and are subject to Meta's policies, rate limits, and quality ratings. We are not responsible for delivery delays caused by WhatsApp / Meta.

6. AI features

WA POS uses AI (currently OpenAI's gpt-4o-mini) to interpret natural-language commands and correct misspellings. AI may occasionally misclassify intent. You should review critical outputs (e.g. cancellations, reports) and we are not liable for AI-generated decisions.

7. Service availability

We aim for 99% monthly uptime but do not guarantee it. Scheduled maintenance will be announced when possible.

8. Intellectual property

All Service code, designs, and trademarks remain the property of Cybex Innovation. You retain all rights to data you upload (orders, customers, products).

9. Limitation of liability

To the maximum extent permitted by law, our total liability for any claim arising from the Service is limited to the amount you have paid us in the 12 months preceding the claim. We are not liable for indirect or consequential damages, lost profits, or data loss beyond what is recoverable from regular backups.

10. Termination

You may close your account anytime by emailing us.
We may close accounts that violate these Terms or remain inactive for 12+ months.
On termination, your data is retained per the Privacy Policy and then deleted.

11. Governing law

These Terms are governed by the laws of India. Disputes are subject to the exclusive jurisdiction of the courts at Bangalore, Karnataka.

12. Changes

We may update these Terms. Material changes will be notified via WhatsApp or a dashboard banner. Continued use after notification constitutes acceptance.
